COGNITION

Cognition AI — also filed as Cognition Labs — was founded in late 2023 in San Francisco by three competitive-programming gold medalists who decided that the correct unit of software was no longer the function, but the task. Their thesis: hand an agent a ticket, not a prompt.

THE FOUNDING MYTH

Scott Wu (CEO), Steven Hao (CTO), and Walden Yan (CPO) all won gold at the International Olympiad in Informatics — the high-school contest where the world’s most obsessive young programmers are sorted by speed and correctness under pressure. They took that wiring and aimed it at the biggest harness available: software engineering itself.

The company surfaced in March 2024 with a demo of Devin and almost no public footprint before it. Founders Fund had already wired in $21M earlier that year at a $350M valuation. Six weeks later, the same firm led a $175M round at $2B — unicorn status inside the company’s first public quarter.

We envision a world of software abundance where engineers become architects, solving the most challenging problems and focusing on their creative visions while tasking an army of autonomous agents to support them on everything else. — Cognition, funding post

THE MONEY LEDGER

date event reported figure
early 2024 Founders Fund seed-ish wire $21M at $350M val
apr 2024 Founders Fund growth round $175M at $2B — unicorn
mar 2025 8VC-led round ~$4B val
sep 2025 Founders Fund-led, post-Windsurf $400M+ at $10.2B post-money
may 2026 reported mark ~$26B val
aug 2026 Bloomberg report of talks at least $40B discussed

The line that deserves the museum case: Cognition reported total net burn under $20M across the company’s entire history through the September 2025 raise — a number that reads like a typo in an industry where frontier labs measure burn in hundreds of millions per quarter. Agent revenue was real revenue: Devin grew from $1M ARR in September 2024 to $73M ARR by June 2025, and the Windsurf acquisition more than doubled the combined book.

THE SHAPE OF THE COMPANY

THE COMPETITIVE STANCE

Cognition’s position in the annals is unusual: it is simultaneously an applications company (Devin, the IDE, the integrations), a model lab (the SWE line, Kevin-32B, swe-grep), and a distribution machine (Slack, GitHub, Linear, Jira, MCP). Most rivals own one of those layers. The bet visible across every transmission in this archive is that owning all three compounds — the harness teaches the model, the model powers the product, the product funds the training run.

For the artifact trail behind that bet, proceed to the Devin record, the Windsurf gambit, and the model wing.
